1. Additional Terms
    This section provides further details on the agreement.
    8.1 Refund and Termination
    • Reasons for Refund are:
    o The problem was not solved.
    o The consultant lacks the required expertise to complete the request.
    o The project exceeded the deadline, and the client did not agree to an extension
    • Any dispute that cannot be resolved through direct negotiation will be referred to the ED team for arbitration. The decision reached will be final and binding on both parties.
    • If either reason is verified, the issue will be reported to the Consultant for confirmation. If confirmed, all money paid by the Client will be refunded.
    • Upon termination, any fees for incomplete services will be calculated proportionally based on the project’s progress (as assessed by the Consultant) and refunded to the Client.
    • Either party may terminate the Agreement by providing written notice at least one week in advance.
    • If the Client terminates the Agreement without a valid reason, all payments made to the Consultant shall be non-refundable.
    8.2 Intellectual Property Rights & Confidentiality
    • All intellectual property rights in the work produced by the Consultant remain with the Consultant, except for any content provided by the Client.
    • The ED team retains the right to use non-confidential elements of the project (such as results and promotional material) for advertisement purposes, subject to prior consent.
    • Neither party may transfer or delegate any rights under this Agreement to a third party. Any such attempt will render this Agreement null and void.
    8.3 Legal Liabilities
    • All legal fees or taxes related to this Agreement shall be handled in accordance with applicable laws. Each party is responsible for paying their respective share of any taxes, except where local regulations specify that the Client is responsible.
    • This Agreement is prepared in two (or more, if required) identical copies, each holding equal legal validity.
  2. Parties’ Commitments
    9.1 Consultant (Contractor) Commitments:
    • The Consultant shall deliver the project in accordance with the agreed timeline. Any delays must be communicated promptly to client, along with proposed new deadlines.
    • The Consultant shall provide regular progress updates as specified in the contract. These updates should include key milestones, issues encountered, and estimated completion dates for subsequent steps.
    • The Consultant shall perform the project in a professional manner, adhering to relevant standards, specifications, and guidelines. All content must meet the quality standards agreed upon in the contract.
    • The Consultant shall not use or publish the project files or materials outside the scope of this Agreement. However, the Consultant is allowed to use the project results in their ED profile or on social media platforms (e.g., LinkedIn) as long as ED is referenced for advertisement purposes.
    • The Consultant shall comply with all applicable laws and ED policies.
    9.2 Client (Employer) Commitments:
    • The Client must provide all necessary project details and content as agreed in the contract. Failure to supply accurate or timely information may lead to delays or project termination with no refund.
    • The Client shall review deliverables promptly and provide clear feedback or approvals within the timeframes specified in the contract.
    • The Client shall use the deliverables only as specified in this Agreement.
    • The Client agrees not to disclose any proprietary methods or pricing information.
    • The Client commits not to make any significant changes (e.g., adding new material or terms that require additional time and effort from the Consultant) during the project, that affect the project’s implementation without prior coordination with the Consultant, in order to avoid disruptions or compatibility issues.
    9.3 Project Amendments:
    • The Client has 5 working days after receiving the project to ask any questions or report any issues related to the project. Until then, the payment remains held by ED and will not be sent to the Consultant. After the designated time or the client confirmation, the money will be sent to the Consultant and will no longer be refundable.
    • The Client may request modifications to the project scope, deliverables, or timeline within 5 working days of the project’s commencement or as mutually agreed.
    • If the requested amendments significantly alter the project scope or complexity, the Consultant shall have the right to propose additional costs or extended deadlines. Both parties must agree to such changes in writing.
    • Minor adjustments (e.g., small content edits or formatting tweaks) that do not affect the overall scope may be provided at no extra cost, as specified in the contract.
    All amendments must be documented and confirmed in writing (via email or a signed addendum) by both parties to avoid misunderstandings.
